These Terms of Service (“Terms”) are an agreement between Axivio Technologies LLC, a Missouri limited liability company (“Axivio”, “we”, “us”), and the business that uses our services (“Customer”, “you”).
Axivio Links (shown as links.), Axivio Quote (shown as quote.) and Axivio Tools (shown as tools.) are product brands of Axivio Technologies LLC, not separate companies. In these Terms, “Services” means our website at axiviotech.com, the Axivio Links workspace at links.axiviotech.com, the Links you add to it, Axivio Tools, the other Axivio products and Links we offer now or later, and related support.
If you have a separate signed agreement with Axivio for a particular service, that agreement controls for that service where it conflicts with these Terms.
1. How you accept these Terms
You accept these Terms when you create a business in Axivio Links and confirm that you agree to them, when you confirm your agreement at checkout, or when you otherwise use the Services. If you do not agree, do not use the Services.
2. Who may use the Services
The Services are for business and commercial use, not for personal, family or household use. Everyone who uses the Services must be at least 18 years old. If you create a business account or accept these Terms, you confirm that you have authority to bind that business to these Terms, and “you” then means that business.
We currently offer the Services to businesses in the United States. We may add or limit the countries and regions we support, and some features, such as online payments, may be available only in supported locations.
3. Accounts, businesses and teams
The person who creates a business in Axivio Links becomes its owner. A person can belong to one business at a time. The owner and admins can add and remove teammates and set their roles, and each role has different permissions. You are responsible for the people you add, for keeping sign-in details secure, and for everything done under your business’s account. If you believe someone has used your account without permission, contact security@axiviotech.com.
Moving ownership of a business to another person may require verification and support review. We may decline a transfer until we are satisfied that the request is authorized.
4. The Services
Axivio Links is the workspace where your business adds and manages Links, each built for a particular job. quote. is the first Link, for building quote forms, sending quotes, receiving customer decisions, booking work and requesting payments. Products we show as “in development” are not available to buy or use until we say so.
Axivio Tools are free calculators and resources on our website. Their results are estimates and general information, not professional, legal, tax, accounting or financial advice. Check them before you rely on them.
Before you add a Link, we show you the permissions it needs, and you decide whether to add it. Turning a Link off or removing it does not delete the records it created.
Instant quotes
quote. lets your business choose, for each quote form, to send quotes instantly. Before an owner or admin of your business turns this on for a form, quote. shows them the terms every automatic quote from that form will carry, such as the price range, what is included, how long the quote is valid and the payment terms, and asks them to confirm. That confirmation, which we record with who gave it and when, is your business’s standing authorization for Axivio to issue quotes from that form and email them to your customers, automatically and in your business’s name, whenever a customer’s request meets those settings. Each quote is priced by the form’s own pricing for the customer’s answers, and no one at your business reviews it before it is sent.
A request that does not meet your settings waits for your review, as on any other form. We may also hold a request for your review instead of quoting it automatically, for example when it reaches a limit, when a required booking would be combined with payment before the work, or when the request includes something you asked to review. We do not promise that any particular request will be quoted automatically.
Changing a form’s prices or questions, or the terms you confirmed, stops automatic quotes from that form until an owner or admin confirms again. You can pause automatic quotes for one form or for your whole business, or turn them off, at any time. Pausing or turning them off affects new requests only: quotes already sent remain valid until they expire, are answered or are withdrawn. You can withdraw a quote your customer has not yet accepted or declined.
Quotes issued automatically under your confirmed settings are your business’s quotes, made to your customers, and you are responsible for them exactly as if you had sent them yourself (see section 16).
When your customer accepts a quote, whether it was sent automatically or by you, that acceptance may form a binding agreement between your business and your customer on the quote’s terms. Axivio is not a party to that agreement (see section 7). Withdrawing a quote stops it from being accepted after the withdrawal. It does not undo an acceptance that was already completed, and it does not by itself end any obligations that already exist between your business and your customer.
We may improve, change or remove features over time. We will normally give at least 30 days’ notice before we intentionally remove a material feature from a paid service, but we may act sooner where needed for security or legal compliance, or to protect the Services or other customers. If we discontinue an entire paid service, we will give reasonable notice and refund any prepaid fees for service we will no longer provide.
5. Subscriptions, fees and billing
Paid plans, their prices and what each includes are shown on our product pages and in Billing before you buy. Prices are in U.S. dollars. There is no free trial unless we clearly offer one for a specific plan when you buy.
Paid plans are billed monthly and renew automatically each month until you cancel. By subscribing, you authorize us and our payment processor, Stripe, to charge your payment method for each monthly period, and for any upgrade charges described below, until you cancel.
An upgrade takes effect when its charge is paid, and that charge is prorated for the rest of your current monthly period. A downgrade takes effect at your next renewal. You can move to a plan with fewer business users only when your team already fits that plan. We do not remove teammates for you.
If a renewal payment fails, the paid features you already had stay available for a 7-day grace period while you update your payment method. After that, paid features are paused until payment succeeds. A new purchase becomes available only after its payment succeeds.
Prices do not include taxes. If the law requires us to collect sales, use or similar taxes, we may add them to your charges, although we may choose to absorb some taxes instead.
If we raise the price of a plan you already subscribe to, we will email you at least 30 days before the change. The new price applies from your next renewal after that notice period. New customers pay the current advertised price.
6. Cancellation and refunds
You can cancel at any time in Billing in your Axivio Links workspace. Cancellation takes effect at the end of your current paid period, and you keep paid access until then. You can undo the cancellation in Billing before the period ends.
We do not refund partial or unused subscription periods, except where applicable law requires a refund. We may, at our discretion, issue a refund or a credit toward future charges when we consider it appropriate.
Cancelling a subscription does not delete your workspace, and your business’s stored records stay there after paid access ends. Creating new work requires current paid access, and so do that Link’s customer-facing features, such as the links your customers use. Section 11 covers deletion and export.
7. Online payments from your customers
If you use quote. to request deposits or payments, your customers pay your business through your own Stripe account, which you connect through Axivio. That account is governed by Stripe’s agreement and terms, which you accept when you set it up. Online payments may be available only in supported countries and only once your Stripe account is ready to accept payments.
Your business is the seller. Axivio is not a party to the sale between your business and your customer, and refunds, disputes and chargebacks between you and your customers are your responsibility.
Stripe may charge its own fees on payments made through your Stripe account. Under the current Services, Axivio does not charge a platform or transaction fee on those payments.
8. Your data and your customers’ information
“Customer Content” means the content and information your business puts into the Services or collects through them, including quote forms, pricing rules, prices, quote settings, quotes (including quotes issued automatically under your settings), notes, photos, and records such as your customers’ requests and decisions. As between you and Axivio, you retain your rights in Customer Content, and you represent that you have the rights, permissions and authority needed to provide it to Axivio for processing under these Terms. You give Axivio permission to host, copy, process, transmit and display Customer Content only as necessary to provide, secure and support the Services, to comply with law, and for the uses described in our Privacy Policy.
When your customers use your quote forms, pages and links, your business decides what information to ask for and why. Axivio provides the software and infrastructure. You are responsible for collecting and using your customers’ information lawfully, for having any permissions you need to contact them, and for giving them your own privacy notice where the law requires one.
Customer-facing pages we provide may show a short notice that the page is sent through Axivio Technologies for your business, with a link to Axivio’s Privacy Policy. That policy explains Axivio’s own processing. It does not replace your business’s own privacy policy where you are required to have one.
Ordinary Axivio forms are not designed for highly sensitive information. Do not use them to collect full payment card numbers, bank account credentials, Social Security numbers, regulated medical information or similar data.
We may use aggregated or de-identified operational and usage data to improve the Services and for reliability, security, capacity planning and business analytics. We do not use your Customer Content, such as quote text, notes, photos and files, for general product improvement without your permission, and we do not sell customer data or use it for advertising.
Authorized Axivio personnel may access your account and Customer Content when reasonably necessary to provide support, operate and secure the Services, investigate abuse, or meet legal obligations.
9. Messages sent through the Services
quote. sends emails to your customers in your business’s name about their requests. Some you send yourself, such as a quote you review and send. Others are sent automatically when something happens, such as a request being received, a quote issued under your instant quote settings, a quote accepted, a payment received, or an appointment booked, changed or cancelled. Replies go to your business. You are responsible for the content of messages sent at your direction or under your settings, including the quotes and terms you configure, and for having the right to send them. Do not use these features for spam or bulk unsolicited messages.
10. Acceptable use
You may not use the Services, or allow anyone else to use them, for:
- unlawful activity, or selling or promoting unlawful products or services;
- fraud, deceptive business practices, or misleading your customers;
- impersonating another person or business, or misrepresenting who you are;
- malware, viruses, or attacks on the Services, other customers or anyone else;
- scraping or automated collection from the Services without our permission;
- trying to bypass security, access controls, rate limits or other service limits;
- spam or bulk unsolicited messages sent through Axivio messaging features;
- intentionally collecting the highly sensitive information described in section 8 through ordinary Axivio forms;
- reselling, sublicensing or sharing access to the Services without our permission; or
- activities that Stripe or another connected payment provider does not allow, when you use online payments.
You remain responsible for the legality of your own products, services and dealings with your customers.
11. Data export and deletion
The owner of a business, or another person we verify as authorized to act for it, may ask us to delete the business’s data. We aim to complete deletion within 30 days of a valid, verified request. We may keep records we reasonably need for legal, accounting, tax, security, fraud-prevention or dispute purposes.
Before deletion, the owner may ask for a reasonable electronic export of the business data available in the Services, in a readable or machine-readable format we support at the time. We do not promise a particular export format.
We do not charge for anything the law requires us to provide free. We may offer enhanced offboarding services, such as custom formatting, organized document or archive packages, printed copies or physical media, expedited handling, migration assistance or special data mapping, for a reasonable fee that we will tell you before you agree.
12. Suspension and termination
You can cancel your subscription in Billing at any time (section 6) and ask us to close and delete your business’s account (section 11).
If you break these Terms, we will normally tell you and give you a reasonable opportunity to correct the problem. We may suspend access immediately, without that opportunity, when we reasonably believe it is necessary because of a credible security threat, fraud, serious illegal activity, danger to your customers, other customers or our systems, or a similar material risk. If we do, we will tell you what happened as soon as reasonably practical. Nonpayment is handled under the billing terms in section 5.
We may end these Terms or your access to the Services if a serious or repeated violation continues, or if the law requires it.
Sections 6, 7, 8, 11, 13, 15, 16, 17, 18 and 19 continue to apply after these Terms end, to the extent relevant.
13. Third-party services
The Services work with services run by other companies, such as Stripe for payments and Google for hosting and sign-in. Those companies’ terms may apply to your use of their services. We are not responsible for services we do not control.
14. Changes to these Terms
We may update these Terms. For minor changes, such as clarifications, formatting or administrative updates, we will post the updated Terms with a new effective date. For material changes, we will post the updated Terms and, when reasonably practicable, email existing customers at least 30 days before the changes take effect. Changes needed urgently for legal, security, fraud-prevention or service-protection reasons may take effect sooner, with notice as soon as reasonably practical.
If you continue to use the Services after a change takes effect, the updated Terms apply. If you do not agree to a change, cancel before it takes effect.
15. Intellectual property and feedback
Axivio owns the Services, including our software and designs and the Axivio, links., quote. and tools. names and marks. These Terms give you no rights to them other than the right to use the Services as these Terms allow. If you send us suggestions or feedback, we may use them without any obligation to you.
16. Disclaimers
The Services are provided “as is” and “as available.” To the fullest extent permitted by law, Axivio disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not promise that the Services will be uninterrupted, error-free or always available, or that every result, estimate or calculation will be correct. You are responsible for the prices, pricing rules, quote terms and quote settings you configure, and for checking quotes before you send them to your customers. If you turn on instant quotes, quotes are issued from your configured pricing and settings without anyone reviewing each one, so check your forms, prices and settings before you confirm them and whenever you change them. Axivio does not review or approve the prices or terms of your quotes. Some jurisdictions do not allow certain disclaimers, so some of these may not apply to you.
17. Limitation of liability
To the fullest extent permitted by law, Axivio will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, business, goodwill or data, arising from or related to these Terms or the Services, even if we were told they were possible. Axivio’s total liability for all claims arising from or related to these Terms or the Services will not exceed the fees you paid to Axivio during the 12 months before the event that gave rise to the claim.
These limits do not apply where the law does not allow them.
18. Indemnity
To the extent permitted by law, you will defend, indemnify and hold harmless Axivio Technologies LLC and its owners, employees and contractors from third-party claims, and the related losses, costs and reasonable attorneys’ fees, arising from:
- your Customer Content;
- your products or services;
- your dealings with your customers;
- your unlawful use of the Services; or
- your violation of section 10.
19. Governing law and disputes
These Terms are governed by the laws of the State of Missouri, without regard to its conflict-of-law rules. Any dispute arising from or related to these Terms or the Services will be brought in the appropriate state or federal courts located in Missouri, and both parties consent to the jurisdiction of those courts. Nothing in this section prevents either party from seeking relief in small claims court where permitted.
20. General
These Terms, together with our Privacy Policy and any plan details shown when you buy, are the entire agreement between you and Axivio about the Services, unless you have a separate signed agreement as described at the start of these Terms. You may not transfer these Terms without our written consent. We may transfer them as part of a merger, acquisition or sale of assets.
We are not responsible for delays or failures caused by events beyond our reasonable control. If part of these Terms is found unenforceable, the rest stays in effect, and that part will be enforced to the extent permitted. Not enforcing part of these Terms is not a waiver of our right to enforce it later.
Sending us an inquiry through our website does not create a client relationship or any obligation to provide services.
